IMPORTANT: U.S. MEMBERS AND VISITORS, PLEASE REVIEW THE ARBITRATION AGREEMENT SET FORTH IN SECTION 16(a) BELOW CAREFULLY, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH PULITO ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION.

1. OUR SERVICES

Welcome to Pulito! Pulito is a task management network where guests connect to the services that matter to them so that they can thrive. As a purpose-driven company, Pulito leverages innovative technology to cultivate a better experience for everyone who needs reliable help — both online and in the real world.

This Member Agreement (the “Terms”) governs your rights and responsibilities related to Pulito's services, including all of Pulito’s websites, domains, apps, products, services, features, and marketing campaigns (the “Services”), if you have your ordinary place of residence or establishment in the United States, Canada, or Australia. These Terms do not apply to Agencies or Non-Member customers, and the Services do not include Agency Pages or our non-Member advertising services. When you register to use our Services, you become a “Member.” If you have chosen not to register for our Services, you may still be able to access certain aspects of our Services made available to you as a “Visitor.” By accessing or using our Services, whether as a Member or Visitor, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms as a legally binding contract with Pulito (even if you are using the Services on behalf of a company), so please take a moment to read these Terms.

If you are accepting these Terms and using the Services on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you are authorized to do so and that you have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity. The collection, use, and sharing of your personal information is described in our Privacy Policy and our Cookie Policy. Your use of certain Services, including Business Services (as defined in our Business Services Terms), may be subject to additional terms, policies, and guidelines (“Supplemental Terms”), and such Supplemental Terms will either be listed in these Terms or will be presented to you on the Services. If these Terms are inconsistent with the Supplemental Terms, the Supplemental Terms shall control with respect to such Service.

Throughout these Terms, we use “Pulito,” “we,” “us,” and “our” to refer to the companies offering our Services to you. If you live in the United States, the Services are operated and provided to you by Pulito LLC, [Address]. If you live in Australia, the Services are provided to you by Pulito Pty Ltd., [Address, Australia]. If you live in Canada, the Services are operated and provided to you by Pulito Canada Ltd., [Address, Canada].

2. JOINING THE PULITO NETWORK

a. Eligibility. You may use our Services only if you can legally form a binding contract with Pulito and only in compliance with these Terms and all applicable laws. You can't use the Services if (1) you are a minor in your jurisdiction and would need parental or guardian consent to fully use the Services (e.g., under 13 pursuant to COPPA); (2) you are a registered offender in any jurisdiction or are otherwise subject to applicable laws barring you from using or accessing our Services; (3) we previously disabled your account for violations of our terms or policies; (4) our Services are not directed to your geographic territory; or (5) you are otherwise prohibited by applicable laws from accessing or receiving our Services. We reserve the right to refuse registration for, access to, or use of our Services by any person or household at any time and for any reason.

b. Becoming a Member. When you register to become a Member, you must provide us with accurate and complete information. We reserve the right to reject and terminate any registrations submitted with false or inaccurate registration information or otherwise submitted in violation of these Terms.

c. Account Types and Access. Members may create, operate, maintain, or otherwise use an account on the Services (“Account(s)”) for personal and/or business use. If you use our Business Services, which include but are not limited to creating or claiming a page that advertises or contains other information about your service offerings (a “Business Page”), then you agree to our Business Services Terms, which are incorporated into these Terms. Each individual is limited to one Account per residence or primary service area, and each business is limited to one Account per business location. You are responsible for maintaining the security of your Account login information and must keep such login information confidential. You are responsible for all activity that takes place under your Account. You should notify us immediately if you suspect or become aware of any unauthorized use of or access to your Account.

d. Permitted Activities. You may use, access, search, interact with, or otherwise make use of our Services only for the purposes for which they are provided and by the means we make available (such as our website, apps, and APIs), and in each case subject to any Supplemental Terms we provide governing their permitted uses.

3. OUR LICENSE GRANT TO YOU

Subject to your complete and ongoing compliance with these Terms and all applicable guidelines and policies, Pulito hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and freely revocable license to access and use the Services as provided herein. The foregoing license grant is not a sale of the Services or any portion thereof, and Pulito retains all of our right, title, and interest in the Services and all copies thereof.

4. RIGHTS YOU GRANT

a. Generally. Some areas of the Services allow Members to post, publish, submit, upload, transmit, or otherwise make available on the Services content such as profile pictures, photos, reviews, task requests, and other content or information (“Content”). Any such Content that a Member does make available or submit is referred to as “Member Content.” You retain ownership of your Member Content.

b. License Grant to Pulito. You hereby grant to Pulito a non-exclusive, transferable, fully sublicensable (through multiple tiers), royalty-free, perpetual, and worldwide license to host, use, distribute, modify, copy, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of your Member Content. We will exercise our rights in the foregoing license subject to your Account settings, the selections you make when posting your Member Content, and as otherwise described in our Privacy Policy. You represent and warrant that you are the creator and owner of your Member Content, or that you have the necessary licenses, rights, consents, and permissions to authorize Pulito to exercise the licenses granted by you in this section in the manner contemplated by these Terms.

c. License Grant to Downstream Users. You also hereby grant each user of the Services a non-exclusive license to access your Member Content through the Services and to use, reproduce, distribute, display, and perform such Member Content as permitted through the functionality of the Services and under these Terms.

d. Feedback. We welcome you to share any feedback, suggestions, or ideas you have about Pulito and our Services with us (“Feedback”); you agree that in sharing your Feedback, you hereby grant Pulito an unrestricted, perpetual, irrevocable, non-exclusive, sublicensable, transferable, fully-paid, royalty-free right to use the Feedback as we see fit and in connection with any of our products and services now known or hereinafter developed.

e. Sharing Content. We invite you to share Content from Pulito through our sharing features, including the Share button. Copying, sharing, or redistributing Content by any other means, including through web scraping, is prohibited.

5. BEING A GOOD GUEST

a. Community Guidelines. At Pulito, we believe that respectful behavior is the foundation of a thriving community. These Terms include by reference our Community Guidelines on appropriate use of Pulito. All of our Community Guidelines apply to Content submitted on Pulito, including submissions in Groups and direct messages. We may limit the distribution of or remove Content that we determine violates the Community Guidelines. We reserve the right to proactively moderate Content, although we expressly disclaim any obligation to do so, and we can remove Content, suspend, delete, or deactivate your Account, limit Account privileges, or otherwise refuse service to you if you violate our Community Guidelines, these Terms, or our other policies, or if you infringe intellectual property, or otherwise engage in behavior that we think may harm Pulito, its users, or the community.

b. Prohibited Conduct. Without limiting other restrictions contained in these Terms, you agree that you will not, under any circumstances (i) gain or attempt to gain unauthorized access to any part of the Services, including the Accounts of other Members (such as through the use of bots or other automations as well as the unauthorized use of legitimate Member credentials); (ii) interfere with, disrupt, or damage our Services, or attempt to do the same (such as by posting viruses, instigating a denial-of-service attack, or spamming other Members); (iii) attempt to gain access to or tamper with non-public areas of the Services, our computer systems, and any technical delivery systems of our providers; (iv) attempt to prove, scan, or test the vulnerability of our systems, networks, or Services, or breach any security or authentication measure; or (v) otherwise access or use the Services in an unlawful or unanticipated manner. For clarity, any attempt to engage in any of the behaviors listed in this section is also prohibited.

6. MEMBER TRANSACTIONS

a. Services Offered by Members. You, and not Pulito, are responsible for your own decisions and actions on the Services. Pulito does not own or sell any of the services listed by Members on the platform (such as tasks or gigs), so any actual contract formed is between the Member making an offer and the Member seeking to engage the service. Pulito merely provides the platform to facilitate these connections.

b. Engaging Other Members. Pulito does not interview, run background checks on, monitor, supervise, direct, or control Members. The use of Pulito to find services does not make Pulito an employer, placement agency, representative, or agent of or for you or any other Member or service provider. If you and another Member decide to work together, the two of you, and not Pulito, are solely responsible for complying with any applicable laws, such as tax and employment laws. Members are not independent contractors, employees, joint venturers, franchisees, or service providers to or for Pulito.

c. Prohibited Transactions. Except through Pulito’s Services and in accordance with Pulito’s Guidelines, you may not use the Services to solicit, advertise for, or contact in any form, Members for any employment or other commercial purpose. You may not use the Services to collect the contact information or other personal information of Members, by electronic means or otherwise, without the Member’s explicit consent or our prior written consent.

d. Pulito Provides a Venue Only. Pulito is not a party to interactions, transactions, or disputes between Members, and while we may, in our discretion, help facilitate the resolution of disputes, we have no control over and do not guarantee (i) the existence, quality, safety, or legality of any services listed by Members on the platform; (ii) the truth or accuracy of Member Content or listings; (iii) the ability of Members to provide or pay for services; (iv) that Members who choose to engage with one another will actually complete the transaction, or (v) the integrity, responsibility, or actions of any Members. Pulito reserves the right to remove any Member’s listing on the platform for any reason or no reason, at any time, with or without notice. When interacting with other Members, you should exercise caution and common sense to protect your personal safety and property, just as you would when interacting with others in person. PULITO AND OUR AFFILIATES WILL NOT BE LIABLE FOR ANY CLAIM, INJURY, OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE SERVICES.

7. NOTIFICATION PREFERENCES

a. Notifications. By default, you will receive notifications from Pulito related to your use of and interactions with the Services via email, push notifications, or other means. You can manage your notification preferences in your account settings. You are responsible for ensuring that the contact information you provide is accurate and up to date to receive these notifications.

b. Invitations. You can use the Services to invite others to join Pulito, such as by email or text message. Invitations are sent by you and not Pulito. If using Pulito’s invitation tools, your invitations may identify you as the person inviting the recipient and may include your profile or service details.

c. Text Messages. By providing your phone number, you consent to receiving text messages from Pulito. Standard messaging and data rates may apply. Text messages are not intended to replace emergency communication systems or primary phone services. You may update your preferences or opt out at any time via your account settings or by contacting support.

8. PROMOTIONS

Any promotions, contests, or special offers provided through the Services may have additional terms and conditions. Participation in these promotions constitutes agreement to the terms governing the specific promotion. Pulito reserves the right to modify or cancel promotions at any time.

9. THIRD-PARTY SERVICES

Our Services may include links to or integrate with third-party websites, applications, or services that are not owned or controlled by Pulito. Pulito is not responsible for the availability, accuracy, or reliability of these third-party services. If you access or engage with third-party services, you do so at your own risk and subject to their terms of service.

10. CHANGES TO OUR SERVICES

We may offer additional features, modify existing functionality, or discontinue aspects of the Services at any time without prior notice. If you are dissatisfied with any changes, your sole remedy is to stop using the Services.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pulito and its affiliates, employees, and agents from any claims, damages, or liabilities arising out of (i) your use of the Services; (ii) your violation of these Terms; or (iii) any disputes you may have with other Members.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PULITO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. PULITO’S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT YOU PAID TO PULITO IN THE LAST SIX MONTHS.

13. DISCLAIMERS

a. Services Provided “As Is.” Pulito provides the Services on an “AS IS” and “AS AVAILABLE” basis. Pulito makes no representations or warranties of any kind, express or implied, as to the operation of the Services, or the information, content, or materials included therein. To the fullest extent permissible under applicable law, Pulito disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

b. No Guarantee of Results. Pulito does not guarantee that using the Services will lead to specific outcomes, including the successful completion of any task or service engagement. The Services rely on Member-provided information and interactions, and Pulito does not verify the accuracy or quality of any Member's input or behavior.

14. GENERAL

a. Termination. Pulito may terminate or suspend your access to the Services at any time, with or without cause, and without notice. If you terminate your account or stop using the Services, any provisions of these Terms that should logically survive will continue to apply.

b. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in San Francisco, California, unless otherwise required by applicable law.

c. Notices. Notices to Pulito should be sent to the contact information provided on the platform. Pulito may deliver notices to you via email, through your account, or by other reasonable means.

d. No Waiver. Pulito’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

e. Assignment. You may not assign or transfer your rights or obligations under these Terms without prior written consent from Pulito. Pulito may assign or transfer its rights and obligations under these Terms without restriction.

f. Entire Agreement. These Terms, along with any other agreements expressly incorporated by reference, constitute the entire agreement between you and Pulito concerning the Services and supersede all prior agreements or understandings regarding the subject matter.

15. DISPUTE RESOLUTION

a. Informal Resolution. If a dispute arises between you and Pulito, you agree to first attempt to resolve it informally by contacting Pulito through the provided support channels. Both parties agree to make a good-faith effort to resolve the dispute within 30 days before pursuing other remedies.

b. Arbitration Agreement. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively through binding arbitration, except for disputes that qualify for small claims court or as otherwise provided below. The arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in San Francisco, California, unless otherwise mutually agreed upon.

c. Waiver of Class Actions. To the fullest extent permitted by law, all disputes must be resolved on an individual basis. Neither you nor Pulito shall participate in a class action or other collective proceeding.

d. Governing Law for Arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

16. CHANGES TO THESE TERMS

Pulito reserves the right to update or modify these Terms at any time. If material changes are made, Pulito will notify you by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and delete your account.
